To Whom It May Concern:
Union Pacific Railroad Company (“UPRR”) has entered into an agreement with TTX Company (“TTX”) whereby TTX will provide contract car repair audit services for UPRR, and its affiliates The Alton & Southern Railway Company, Chicago Heights Terminal Transfer Railroad Company, and Union Pacific Fruit Express Company. TTX will utilize their Shop Estimate and Invoice System (SEI) to electronically gather and audit your estimate and invoice data for payments due your company for repairs made to railcars owned by UPRR and the foregoing affiliates.
As a synopsis, all repair estimates after March 31, 2007 must be submitted to TTX through SEI in UPRR stipulated electronic format as specified by TTX for processing. Approved estimates will be electronically transmitted to your company. Upon completion of the work, your invoice data will be submitted to TTX through SEI for final processing and payment by the UPRR. In summary, UPRR will continue as it does today, to pay the contract car shop directly, while TTX will provide services for gathering of estimate and invoice data and the auditing protocols for those processes.
It is to your advantage to complete this process as soon as possible. The Contract Administration System (CAS) is to be used in the interim until your shop(s) is set up on SEI.
The agreement between TTX and UPRR imposes a confidentiality obligation on TTX. It Specifically provides:
“In no event shall the Confidential Information be used by TTX in any way in developing pricing for car repair services TTX provides, nor shall the Confidential Information be disclosed to any TTX employees whose duties include developing such pricing.”
(“Confidential Information” is that designated as confidential by UPRR, which includes all labor rates, material costs and related prices from contract shops such as yours.)
